Jeffrey A. Johnson joined the Firm as an associate in 1991, becoming a partner of the Firm in 1997. Jeff’s general practice includes, but is not limited to, Banking Law, Commercial Law, Corporate Law, Finance, Taxation, and Real Estate.
Jeff was born in Primghar, Iowa. He is a 1988 graduate of Iowa State University where he earned a Bachelor of Business Administration in Accounting. Jeff was awarded his Juris Doctor in 1991 from the University of Missouri—Kansas City School of Law. While attending law school, Jeff focused on taxation, taking several of the taxation classes offered to candidates participating in the law school’s L.L.M program. Jeff is admitted to practice before the State Courts in Iowa, Nebraska, and South Dakota, as well as the Eighth Circuit Court of Appeals, and the United States District Courts for the Northern and Southern Districts of Iowa and the United States Tax Court. He is a member of the Commercial and Bankruptcy Law and the Taxation Sections of The Iowa State Bar Association. He is also a member of the Nebraska State Bar Association, State Bar of South Dakota, and the Missouri Bar Association.
Jeff represents both lenders and sophisticated borrowers concerning the structure, negotiation and drafting of complex secured financing transactions, including asset backed credit facilities, revolving credit and term loan facilities, construction and project financing facilities, working capital lines of credit, reimbursement agreements related to bond financing transactions, letters of credit, lease and sale leaseback transactions and interest rate swap transactions utilizing ISDA Master Agreements. Representative financial institution clients include money center national banks and their leasing company affiliates, regional and local banks.
Jeff represents both very large and small businesses, business owners, and investors in (i) entity formation, operation and liquidation; (ii) various asset or stock acquisitions and divestitures; (iii) the drafting, negotiation, and implementation all forms of commercial contracts; and (iv) providing general corporate advice on a full range of legal matters consistent with and often in conjunction with the in- house general counsel.
Jeff represents both buyers and sellers in (i) real estate transactions, including drafting purchase, sale and related agreements; (ii) providing tax advice with respect to like-kind exchange transactions; and (iii) representing developers in the negotiation and drafting of joint venture agreements containing preferred return, yield maintenance, and similar arrangements.
Transactions include the following:
- Representation of the borrower in syndicated financing arrangements with respect to $75 million revolving and $150 million term credit facilities and related interest rate swap
- Representation of the seller-lessee in a $53 million sale lease-back transaction
- Representation of the lender with respect to a $38 million revolving line of credit facility
- Representation of the working capital lender with respect to a $14 million credit facility and inter-creditor agreement with the borrower’s term lender
- Representation of the lender with respect to a $10 million standby letter of credit and reimbursement agreement related to industrial revenue bond financing
- Representation of the seller in a $30 million like-kind exchange transaction involving multiple replacement properties held tenancy-in-common ownership and pursuant to ground lease arrangements
- Representation of the seller in a $17.4 million like-kind exchange transaction involving multiple relinquished properties and multiple replacement properties in multiple jurisdictions
